""With its inception at the end of the nineteenth century as a means of consolidation and reorganization, mergers and acquisitions (M&A) have since become quasi-institutionalized as one of the primary strategic options for organizations, as they seek to secure their position in an ever more competitive and globalizing market place. Despite the optimism surrounding M&A as strategic moves, research on post-merger company performance suggests that most firms engaging in M&A activity do not achieve the sought-after performance targets, either immediately or in the years following the deal. What is it that drives M&A activity when research results do not support the performance expectations of these undertakings? Alternatively, have M&A scholars got it all wrong in the way that M&A performance is measured? Is the topic too complex, enduring, and multifaceted to study? The handbook argues that the field of M&A is in need of a re-rooting: past research needs to be critically reviewed, and fundamental assumptions revisited. A key issue preventing efforts in the practice and study of M&A from achieving dynamic syntheses has been the disciplinary gulf separating strategy, finance, and human relations schools. Penelitian ini bertujuan untuk memberikan informasi terkini dan komparatif mengenai kegiatan merger dan akuisisi. Temuan pada penelitian ini telah menunjukkan bahwa Vietnam sangat aktif dalam kegiatan merger dan akuisisi, misalnya di Vietnam 2946 transaksi diumumkan 2114 telah selesai dalam dekade terakhir. Selanjutnya, Vietnam memiliki unsur khas untuk mengabungkan perusahaan lokal; Berdasarkan 20 transaksi teratas, pada 18 perusahaan target transaksi dan yang akan dilakukan keduanya berasal dari Vietnam. Di sisi lain, Sri lanka memiliki presentase transaksi M & A terlengkap dalam satu dekade terakhir dibandingkan dengan Pakistan dan Vietnam. Dalam kasus Pakistan, temuan tersebut menunjukkan bahwa Pakistan memiliki jumlah transaksi Merger dan Akuisisi berdasarkan jumlah tertinggi dibandingkan dengan Sri Lanka dan Vietnam. Menariknya, meski jumlah transaksi lebih tinggi dibanding Sri Lanka dan Vietnam; Namun, merger dan akuisisi tidak memiliki dampak signifikan paa profitabilitas perusahaan Pakistan."

"Mergers and acquisitions are recognized as a way to ensure sustainability and growth of a business in the market. This enables businesses to expand their activity and generate more profit due to the ability of maximizing their assets and efficiently allocating their resources. However, this may project potential threats to businesses that do not possess as big of a market share compared to those that have a dominant position. This, in turn, stimulates the use of a Competition Law in Indonesia, which came to legal force in 1999, which prohibits all the necessary practices that may be done by businesses in order to ensure a competitive nature of the market. In this thesis, two case studies will be examined, involving the merger and acquisition done by two named companies in Indonesia, namely: PT Indosat Tbk and Unilever Indonesia Holding BV. The research methods used includes a juridical-normative approach, which concluded that the merger and acquisition of the two case studies were approved by KPPU, and posed no concrete evidence towards the Abuse of a Dominant Position done by the merging and acquiring companies. Additionally, both consequences and sanctions of a merger are analysed, being Unilateral and Coordinated effects, as well as Market Foreclosure. This research was concluded with a Personal Opinion by the Author, which agreed with the concluding analyses of KPPU which had ultimately allowed the merger and acquisition of the companies in this thesis to be conducted, in addition to a suggestion that leaned towards one necessary calculation that was missed out by KPPU.

Merger dan akuisisi diakui sebagai cara untuk memastikan keberlanjutan dan pertumbuhan bisnis di pasar. Ini memungkinkan bisnis untuk memperluas aktivitas mereka dan menghasilkan lebih banyak keuntungan karena kemampuan memaksimalkan aset mereka dan mengalokasikan sumber daya mereka secara efisien. Namun, hal ini dapat memproyeksikan potensi ancaman terhadap bisnis yang tidak memiliki pangsa pasar sebesar ini dibandingkan dengan bisnis yang memiliki posisi dominan. Hal ini, pada gilirannya, mendorong penggunaan Undang-Undang Persaingan di Indonesia, yang mulai berlaku pada tahun 1999, yang melarang semua praktik yang diperlukan yang dapat dilakukan oleh bisnis untuk memastikan sifat pasar yang kompetitif. Dalam tesis ini akan dikaji dua studi kasus yang melibatkan merger dan akuisisi yang dilakukan oleh dua nama perusahaan di Indonesia, yaitu: PT Indosat Tbk dan Unilever Indonesia Holding BV. Metode penelitian yang digunakan adalah pendekatan yuridis-normatif, yang menyimpulkan bahwa penggabungan dan pengambilalihan kedua studi kasus tersebut disetujui oleh KPPU, dan tidak menimbulkan bukti nyata adanya Penyalahgunaan Posisi Dominan yang dilakukan oleh perusahaan yang melakukan penggabungan dan pengambilalihan. Selain itu, baik konsekuensi dan sanksi merger dianalisis, menjadi efek Unilateral dan Terkoordinasi, serta Penyitaan Pasar. Penelitian ini diakhiri dengan Pendapat Pribadi Penulis yang sependapat dengan kesimpulan analisis KPPU yang pada akhirnya memungkinkan dilakukannya merger dan akuisisi perusahaan-perusahaan dalam penelitian ini, dan juga saran yang condong ke satu perhitungan yang diperlukan namun dilewatkan oleh KPPU."

"Di Indonesia kegiatan penggabungan usaha didominasi oleh merger dan akuisisi dan setiap tahun kegiatan merger dan akuisisi ini semakin meningkat. Merger dan akuisisi dilakukan karena merger dan akuisisi diyakini merupakan cara perusahaan untuk mencapai tujuannya dan akan berdampak pada peningkatan kinerja.
Skripsi ini membahas pengaruh kegiatan merger dan akuisisi terhadap kinerja keuangan berupa profitabilitas, likuiditas, dan solvabilitas pada perusahaan non-keuangan yang terdaftar pada Bursa Efek Indonesia periode 2007-2014.
Penelitian ini adalah penelitian kuantitatif dengan menggunakan metode Ordinary Least Square regression dengan sampel perusahaan non-keuangan yang terdaftar di Bursa Efek Indonesia peiode 2007-2014.
Hasil penelitian menunjukan bahwa kegiatan merger dan akuisisi tidak memiliki pengaruh yang signifikan terhadap kinerja keuangan perusahaan baik profitabilitas, likuiditas, maupun solvabilitas.

The focus of this study is to analyze the impact of mergers and acquisition on corporate financial performance of non financial companies listed on Indonesia Stock Exchange in the year 2007 2014.
This study use OLS regression with samples of non financial companies listed on Indonesia Stock Exchange in the year 2007 2014.
The results suggest that the mergers and acquisition deals do not have any significant impact on profitability, liquidity, and solvability position of the firms.

"Pandemi COVID-19 berpengaruh besar terhadap kemampuan perusahaan untuk bertahan hidup, dan yang paling marak adalah melalui merger dan akuisisi (M&A), yaitu dalam kondisi perbankan di Indonesia, diperkuat dengan adanya Peraturan Otoritas Jasa Keuangan Nomor 12/POJK.03/2020 Tentang Konsolidasi Bank Umum. Dengan ini, kegiatan M&A di industri Perbankan Indonesia makin marak, sehingga tidak dapat lepas dari peran auditor selaku praktisi yang memiliki kompetensi dalam melakukan financial due diligence (FDD) atau uji tuntas keuangan untuk menyoroti aspek-aspek kritis yang terdampak langsung maupun yang tidak terdampak langsung dengan kondisi pandemi sehingga mampu mengurangi risiko kegagalan M&A melalui konfirmasi kebenaran data. Tujuan penelitian berfokus pada evaluasi proses FDD untuk mendukung M&A agar tidak terjadi kerugian dan berhasil menciptakan penambahan nilai bagi pemegang sahamnya. Untuk memahami praktik tersebut, penelitian metode campuran konkuren diterapkan pada kasus akuisisi PT Bank Mayora (Mayora) oleh PT Bank Negara Indonesia Tbk (BNI) melalui wawancara dan dokumentasi. Evaluasi penelitian ini tidak hanya dalam lingkup M&A seperti penelitian sebelumnya, namun mengusung proses FDD M&A industri perbankan terhadap berlakunya POJK tersebut di masa pandemi COVID-19. Hasil penelitian menemukan beberapa aspek baru yang menjadi sudut pandang tambahan yang lebih luas bagi auditor dalam melakukan FDD, juga termasuk perkembangan proses dan prosedur FDD ke arah yang lebih berbasis teknologi.

The COVID-19 pandemic took enormous effect on company's ability to survive, and the most popular way to survive is through mergers and acquisitions (M&A), which in Indonesia, is triggered by the stipulation of Financial Services Authority Regulation Number 12/POJK.03/2020 on Commercial Bank Consolidation. Thus, M&A activities in Indonesian Banking industry were increased, in relation to the role of engaged auditors as practitioners who have competency in conducting financial due diligence (FDD) through critical aspects that are directly and not directly affected with pandemic conditions. This research focused on FDD process evaluation to support the aims on reducing failure of M&A by confirming the veracity of data, so it could prevent loss and create value for shareholders. To understand the practice, concurrent mixed method research was applied to the acquisition case of PT Bank Mayora (Mayora) by PT Bank Negara Indonesia Tbk (BNI) through interviews and documentation. The evaluation of this research is not only within the scope of M&A in previous research but carries the banking industry's FDD for M&A process to comply on POJK during the COVID-19 pandemic. The study finds some new aspects to contribute wider points of view for auditors in conducting FDD, including technology based FDD development of process and procedures."

"Dalam beberapa tahun terakhir, proses pembekuan industri keuangan melalui merger antara bank besar dan mapan di banyak negara perlu perhatian lebih dekat. Masalah menjadi lebih jelas dalam beberapa tahun terakhir karena pemerintah memberi isyarat arah baru dalam kebijakan keuangannya dan mulai membuka pasar keuangannya dengan persaingan asing. Namun, fenomena ini tidak hanya muncul di Korea Selatan, tapi juga di Indonesia. Dalam hal ini, penelitian ini bertujuan untuk mengetahui bagaimana undang-undang mengenai perubahan merger dan akuisisi bank sebelum dan sesudah krisis ekonomi 1998 antara Indonesia dan Korea Selatan. Apalagi penelitian ini mengetahui undang-undang yang mengatur merger dan akuisisi bank dilaksanakan di kedua negara. Penelitian ini dikategorikan sebagai penelitian hukum normatif. Di antara tiga metode penelitian, pertanyaan pertama menggunakan pendekatan historis. Pertanyaan kedua menggunakan pendekatan komparatif, yang berfokus pada persamaan dan perbedaan bagaimana hukum diterapkan di Indonesia dan Republik Korea. Pelaksanaan UU tersebut diwawancarai oleh profesional Bank di Indonesia dan di Korea Selatan. Penelitian ini mengacu pada data sekunder untuk mempelajari topik penelitian. Informasi tentang UU mengenai merger dan akuisisi bank di Indonesia dan Korea Selatan dikumpulkan dari buku, jurnal dan artikel sebagai referensi untuk menangani penelitian ini. Sepanjang penelitian ini, saya telah menyimpulkan bahwa undang-undang dan peraturan di kedua Negara telah lebih spesifik dan diperkuat setelah Krisis Ekonomi tahun 1998. Selain itu, amandemen tersebut berhasil diterapkan di bidang perbankan saat ini, dan memperbaiki merger bank dan proses akuisisi.

In recent years, the restricting process of the financial industry through mergers between large and well-established banks in many countries deserves a closer look. Problems became more apparent in recent years as the government signaled a new direction in its financial policy and began to open up its financial market to foreign competition. However, this phenomenon not only arises in Korea, but also in Indonesia. In this respect, this study aims to find out the laws regarding bank merger and acquisition changed before and after the economic crisis of 1998 between Indonesia and the Republic of Korea. Moreover, to find out the laws regulating bank mergers and acquisition executed/implemented in both countries. This research is categorized as normative legal research. Amongst three research method, the first research question uses historical approach. Second research question uses comparative approach, which focus on the similarities and differences on how law is implemented in Indonesia and Republic of Korea. The implementation of the Law is interviewed by the professional of the Bank in Indonesia and in Republic of Korea. This research refers to secondary data in order to study the topic of the research. Information about laws regarding bank merger and acquisition in Indonesia and South Korea is collected from books, journals and articles as the reference to address this research. Throughout this research, I have been reached in a conclusion that the laws and regulations in both Countries have been more specified and reinforced after the Economic Crisis of 1998. Moreover, those amendments are successfully implemented in current banking field, and improved the bank mergers and acquisitions process.
