"Environmental problems become things that have not been considered for the companies. This Study aims to determine the effect good corporate governance to environmental disclosure. Good Corporate Governance is a system to controlling management, where GCG is proxied by the board of directors, board of commissioners, institutional ownership, managerial ownership, and audit committee. This reaserch use non financial companies listed on BEI. The research sample 30 companies. Measurement of environmental disclosure uses GRI G4 index is 34 index. This study using multiple regression. Based on the results of the study found good corporate governanceis proxieduse board of directors and board commissioners there isnteffect on environmental disclosure.The results institutional ownership, managerial ownership, and audit committee effect on environemental disclosure."

"Tesis ini membahas penilaian perusahaan BUMN Farmasi Tbk. yang menjadi target akuisisi dan analisis struktur tata kelola perusahaan setelah dilakukan akuisisi. Penelitian ini merupakan studi kasus terhadap rencana akuisisi PT Indofarma Tbk. oleh PT Kimia Farma Tbk. yang belum terjadi dan masih berupa kajian. Penilaian dilakukan dengan metode free cash flow the firm menunjukkan nilai perusahaan dan harga saham PT Indofarma Tbk. lebih tinggi dibandingkan dengan nilai pasar. Pada struktur tata kelola perusahaan setelah melakukan akuisisi dilengkapi dengan membentuk Direktur Pengembangan dan komite pemantau risiko.

The focus of this research is to value Pharmaceutical State Owned Enterprise that becomes the target of acquisition and to analyze form of governance structure after acquisition occurred. This research is a case study in the acquisition planning of PT Indofarma Tbk. by PT Kimia Farma Tbk that has not already been happened and is still being reviewed by Government. Free cash flow to the firm valuation shows value of the firm and share price of PT Indofarma Tbk is higher than its current market price. Governance structure after acquisition is completed by forming Development Director and business risk committee."
