"ABSTRAKInteraksi antarnegara dalam era globalisasi memicu interpenetrasi dan integrasi budaya antarnegara. Akibatnya, proses diplomasi budaya dan soft power menjadi faktor signifikan dalam menjamin eksistensi negara di panggung internasional. Dalam konteks ini, Prancis merupakan negara yang memelopori diplomasi budaya modern melalui institusi pembelajaran bahasa. Buku pengajaran bahasa Prancis Alter Ego A1 yang diterbitkan oleh Hachette FLE pada 2012 mengandung materi yang sesuai dengan tingkatan paling dasar dari standar CECRL (Cadre Européen Commun de Référence pour les Langues) yang berlaku di Eropa. Karena buku ini merupakan salah satu produk konkret dari institusi pembelajaran bahasa Prancis, Penelitian ini berusaha untuk menemukan bagaimana usaha diplomasi budaya Prancis dilaksanakan melalui pengajaran bahasa. Dengan menggunakan pendekatan Analisis Wacana Kritis oleh Fairclough dan teori soft power currencies oleh Vuving, ditemukan berbagai citra positif yang dibangun dalam teks mengenai negara dan masyarakat Prancis. Citra-citra tersebut dibangun melalui elemen visual dan pemilihan topik bahasan yang secara implisit menjadi sarana Prancis untuk mengimplementasikan soft power dalam aspek brilliance dan beauty kepada pembaca.

ABSTRACT

Interaction between countries in the era of globalization trigger cultural interpenetration and integration. As a result, the process of cultural diplomacy and soft power become a significant factor in ensuring the existence of the country on the international stage. In this context, France is the pioneer of modern cultural diplomacy through language learning institutions. The french textbook Alter Ego A1 published by Hachette FLE in 2012 contains learning material that matches the most basic level of the european CECRL standard (Cadre Européen Commun de Référence pour les Langues). Since this book is a concrete product of a french language learning institution, this study seeks to discover how french cultural diplomacy efforts are carried out through language teaching. By using the Critical Discourse Analysis approach by Fairclough and Vuving's Soft Power Currencies theory, this study found various positive images regarding the french state and society. These images are constructed by visual elements and the selection of topics which implicitly become France's tool to implement soft power in the aspects of brilliance and beauty to the reader."

"Angka penularan HIV/AIDS masih terus bertambah pada saat ini. Penggunaan akun alter-ego di twitter telah menjadi salah satu media untuk transaksi seksual. Penelitian ini bertujuan mengidentifikasi hubungan tingkat pengetahuan dan sikap terhadap perilaku pencegahan HIV/AIDS. Penelitian ini merupakan penelitian kuantitatif dengan desain cross-sectional dan menggunakan data primer. Hasil analisis inferens dengan uji chi-square menunjukkan tidak ada hubungan antara tingkat pengetahuan (nilai p = 0,519; POR = 1,42; 95% CI = 0,48 – 4,23) dan sikap (nilai p = 0,285; POR = 0,58; 95% CI = 0,26-1,33) terhadap perilaku pencegahan HIV/AIDS. Namun analisis menunjukkan terdapat hubungan antara usia (nilai p = 0,030; POR = 0,33; 95% CI = 0,13 – 0,83), status pekerjaan (nilai p = 0,045; POR = 0,38; 95% CI = 0,16 – 0,90), dan status perkawinan (nilai p = 0,020; POR = 0,11; 95% CI = 0,01 – 0,93) terhadap perilaku pencegahan HIV/AIDS. Program dan pelayanan kesehatan perlu melakukan penjangkauan pemberian pendidikan dan promosi kesehatan terkait HIV/AIDS pada pengguna akun alter-ego di twitter dengan memaksimalkan penggunaan internet serta sosial media misalnya mengadakan webinar terkait HIV/AIDS dan memperkuat kolaborasi dengan lintas sektor lainnya seperti perusahaan, dinas kesehatan setempat, LSM dan lainnya.

The rate of transmission of HIV/AIDS is still increasing at this time. The use of alter-ego accounts on Twitter has become a medium for sexual transactions. This study aims to identify the relationship between the level of knowledge and attitudes towards HIV/AIDS prevention behavior. This study is a quantitative study with a cross-sectional design and uses primary data. The results of the inference analysis using the chi-square test showed that there was no relationship between the level of knowledge (p value = 0.519; POR = 1.42; 95% CI = 0.48 – 4.23) and attitude (p value = 0.285; POR = 0 ,58; 95% CI = 0.26 – 1.33) on HIV/AIDS prevention behavior. However, the analysis showed that there was a relationship between age (p value = 0.030; POR = 0.33; 95% CI = 0.13 – 0.83), employment status (p value = 0.045; POR = 0.38; 95% CI = 0.16 – 0.90), and marital status (p value = 0.020; POR = 0.11; 95% CI = 0.01 – 0.93) on HIV/AIDS prevention behavior. Health programs and services need to outreach the provision of education and health promotion related to HIV/AIDS to alter-ego account users on Twitter by maximizing the use of the internet and social media, for example holding webinars related to HIV/AIDS and strengthening collaboration with other cross-sectors such as companies, health offices local, NGOs and others."

Terhadap tindakan pemegang saham, anggota Direksi dan dewan Komisaris yang merugikan pihak lain, Undang-Undang mengatur perlindungan hukum bagi pihak pihak tersebut dan mewajibkan Pengadilan menetapkan Doktrin Piercing the Corporate Veil dalam memeriksa perkara gugatan perbuatan melawan hukum yang dilakukan oleh perseroan sebagaimana diamanatkan oleh pasal 3 ayat 2 UUPT. Berdasarkan pasal 1365 KUHPerdata penerapan Doktrin ?Alter Ego and Piercing the corporate veil? tidak hanya terbatas pada tindakan ? tindakan yang disebut UUPT pasal 3 ayat 2 semata, akan tetapi terhadap berbagai aspek perbuatan hukum yang tidak selaras dengan hukum serta bertentangan dengan maksud dan tujuan perseroan.

The Doctrine Alter Ego and Piercing the Corporate Veil is one of the doctrines that develop in the Common Law jurisdictions. The doctrine allow Judges to pierces the company veil of that cover the shareholders and other corporate organs from exposing themselves to public knowledge that they may have used the company for their own respective benefits, so that by covering themselves with the corporate veil, they would not theoretically be held responsible for more than the shares they hold, in case the shareholders or for more than the fulfillment of their fiduciary duties of Directors and Commissioners.

Being a legal entity, a limited liability company enjoys its independent status and, as such the shareholders and each Director and/or commissioners possesses limited responsibility within the limits of their respective duties or obligation. But if a shareholders abuses or misuses the company by utilizing the Board of Director and Board of Commissioners to seize corporate opportunities to take any action which result in conflict of interest or with a view to creating self dealing for his own benefit, then the corporate veil that cover the shareholder can be pierced in order to find out what has actually been going on and whoever are involve in such event or action, be they the shareholders, members of the Board of Director and Board of Commissioners with a view to whenever necessary, demanding or claiming the shareholders, member Board of Director and member Board of Commissioners involved in the action that has been found as being detrimental to the company to be held responsible for more than that mandated by the articles of association of the company or even exceeding the law, including against their personal asset.

Abused of power (detournement de pouvoir / misbruik van macht) either directly or indirectly is always committed not in good faith and constitutes irresponsible in utilizing the limited liability company only for their personal advantages the law protect those who suffer from damages caused by misuse of the company by the shareholders, member Board of Director and member Board of Commissioners and obliges the court rely on Doctrine Alter Ego and Piercing the Corporate Veil in examining a case brought before it claiming the company for an alleged unlawful act committed thereby in pursuance of Company Law Article 3 paragraph 2. Under Article 1365 of Indonesian Civil Code, the Doctrine Alter Ego and Piercing the Corporate Veil can be interpreted so widely that is does not cover only acts mentioned in Company Law Article 3 paragraph 2, but to be applied to all acts which are contrary the law and are not il line with the purposes and objectives of the company."
