"Dalam kasus Penundaan Kewajiban Pembayaran Utang Mandala Airlines membawa konsekuensi bagi konsumen, dimana ganti rugi yang diberikan kepada konsumen pemegang tiket yang belum sempat menggunakan tiketnya adalah berupa saham kepemilikan dalam Mandala Airlines. Dari penelitian kasus ini diperoleh hasil bahwa Mandala Airlines belum memberikan perlindungan yang semestinya bagi konsumen sesuai dengan yang diatur dalam Undang-Undang Nomor 8 Tahun 1999 tentang Perlindungan Konsumen. Dari uraian ditas, penelitian ini bertujuan untuk mengkaji konsekuensi yuridis bagi kepentingan konsumen dalam putusan Penundaan Kewajiban Pembayaran Utang Mandala Airlines. Penelitian ini menggunakan metode penelitian hukum normatif yaitu dengan cara meneliti bahan pustaka atau data sekunder yang bersifat hukum atau berupa norma hukum tertulis. Untuk menjembatani kondisi konsumen dengan posisi tawar yang lemah, maka Undang-Undang Nomor 8 Tahun 1999 sangat diperlukan, sedangkan terjadinya Penundaan Kewajiban Pembayaran Utang, hukum yang tersedia adalah Undang-Undang Nomor 37 Tahun 2004 tentang Kepailitan dan Penundaan Kewajiban Pembayaran Utang.

Suspension of Payment of Mandala Airlines brings consequences for consumers, where the compensation provided to the consumer ticket holders who have not had to use the ticket is in the form of stock ownership in Mandala Airlines. From this case study obtained results that Mandala Airlines has not given proper protection for consumers in accordance with that stipulated in Law No. 8 of 1999 on Consumer Protection. From the description, this research aims to ascertain legal consequences for the interests of consumers in decision Suspension of Payment Mandala Airlines. This research used normative legal research method by examining literatures or other secondary data related to law and any form of written legal norms. To connect the consumer condition with a weak bargaining position, the Law No. 8 of 1999 on Consumer Protection is necessary, while the Suspension of Payment, available law is Law No. 37 of 2004 on Bankruptcy and Suspension of Payment."

"ABSTRAK
Skripsi ini membahas mengenai bagaimana perlindungan hukum yang diberikan
terhadap pemegang tiket sebagai kreditor PT. Mandala Airlines dalam hal
dikabulkannya PKPU, dan bagaimana dampak hukum terhadap PT. Mandala
Airlines atas dikabulkannya permohonan PKPU. Penelitian ini menggunakan
pendekatan yuridis normatif. Penulis memperoleh kesimpulan bahwa pada
dasarnya lembaga PKPU memang ditujukan memberikan perlindungan hukum
bagi kreditor dalam bentuk jaminan pembayaran yang adil secara pro rata.
Dikabulkannya PKPU menyebabkan beberapa akibat hukum bagi debitor yaitu
berpindahnya kewenangan mengurus harta, hak untuk melakukan pemutusan
hubungan kerja, terhadap perjanjian untuk menyerahkan barang dan terhadap
debitor penyewa serta akibat hukum lainnya yang berhubungan terhadap utangutang
debitor.

ABSTRACT
This thesis discusses the legal protection of the ticket holders as creditors of PT
Mandala Airlines consequent to the granting of its PKPU, and the legal impact for
PT Mandala Airlines upon the granting of its PKPU. This thesis uses normative
juridical as its research method. Author concludes the purpose of PKPU itself is to
give creditors a legal protection in the form of a guarantee of pro rata payments.
The granting of PKPU results in legal impacts such as authority changeover, the
right of work termination, the hand-over goods to the debtor and other legal
impacts relating to the debtors’ debts."

"Overbooking merupakan salah satu strategi bisnis maskapai penerbangan untuk menjual tiket pesawat melebihi kapasitas pesawat guna mengoptimalkan pendapatan. Ketidakjelasan pengaturan overbooking di Indonesia cenderung membuat maskapai penerbangan berargumen bahwa adanya penolakan boarding penumpang dalam suatu penerbangan disebabkan oleh kesalahan teknis yang mengakibatkan adanya perubahan jenis pesawat. Di sisi lain, penumpang memiliki akses terbatas ke informasi yang diberikan oleh maskapai. Selama ini, penumpang yang ditolak boarding hanya dilihat sebagai bentuk penundaan penerbangan yang penanganannya diatur dalam standar prosedur operasional maskapai. Oleh karena itu, dalam tugas akhir ini penulis mengulas tentang praktek overbooking dalam penjualan tiket pesawat dari perspektif hukum perlindungan konsumen. Penulis menggunakan metode penelitian yuridis normatif dengan menganalisis regulasi, berbagai literatur, dan kasus yang ditemukan. Penelitian ini menunjukkan bahwa praktik overbooking dapat merugikan penumpang yang tidak dapat terangkut karena kapasitas pesawat yang sudah penuh. Kemudian, pengaturan pemindahbukuan yang tidak jelas di Indonesia mencederai hak penumpang untuk mendapatkan informasi yang sebenarnya. Berdasarkan hal tersebut, pemerintah perlu merumuskan regulasi terkait overbooking yang dapat mengakomodir perlindungan konsumen di sektor penerbangan seperti di Uni Eropa dan Amerika Serikat.

Overbooking is one of the airline's business strategies to sell airplane tickets beyond the capacity of the aircraft in order to optimize revenue. The ambiguity of overbooking arrangements in Indonesia tends to make airlines argue that there is a refusal to board a passenger on a flight due to a technical error resulting in a change in aircraft type. On the other hand, passengers have limited access to information provided by the airline. So far, passengers who have been refused boarding have only been seen as a form of flight delays where the handling is regulated in the airline's standard operating procedures. Therefore, in this final project the author reviews the practice of overbooking in airplane ticket sales from the perspective of consumer protection law. The author uses a normative juridical research method by analyzing regulations, various literatures, and cases found. This research shows that the practice of overbooking can be detrimental to passengers who cannot be transported because the aircraft's capacity is already full. Then, unclear book-entry arrangements in Indonesia injure passengers' right to get real information. Based on this, the government needs to formulate regulations related to overbooking that can accommodate consumer protection in the aviation sector, such as in the European Union and the United States."

"Skripsi ini membahas perihal konversi utang menjadi saham sebagai isi dari tawaran rapat rencana perdamaian PT. Mandala Airlines terhadap seluruh krediturnya guna restrukturisasi utang dikarenakan kemampuan finansial PT. Mandala Airlines selaku debitur kurang baik. Atas rencana perdamaian yang ditawarkan tersebut akhirnya Pengadilan Niaga Jakarta Pusat mengesahkan hasil voting perdamaian antara PT. Mandala Airlines - para kreditur melalui Putusan No. 01/PKPU/2011/PN.NIAGA.JKT.PST. Akan tetapi, PT. PANN (Persero) sebagai perusahaan pembiayaan yang bergerak di bidang pembiayaan kapal yang juga menjadi salah satu kreditur konkuren PT. Mandala Airlines tidak dapat melaksanakan putusan Pengadilan Niaga yang bersifat final dan mengikat tersebut disebabkan adanya Peraturan Menteri Keuangan No. 84/PMK.012/2006 tentang Perusahaan Pembiayaan yang menyatakan bahwa “perusahaan pembiayaan hanya dapat melakukan penyertaan modal pada perusahaan di sektor keuangan di Indonesia” dan apabila dilanggar dapat dikenai sanksi hingga berupa pencabutan izin usaha. Penelitian ini akan meneliti masalah mengenai konversi utang menjadi saham yang bertentangan dengan peraturan yang berlaku mengenai perusahaan pembiayaan.

This Thesis discusses about debt to equity swap as the content of peace agreement meeting of PT. Mandala Airlines to all its creditors to restructure debts due to PT. Mandala Airlines’s financial capability as a debtor is not good enough. Over that peace agreement meeting, Commercial Court of Central Jakarta finally ratified the voting result between PT. Mandala Airlines – all its creditors by Decision No.01/PKPU/2011/PN.NIAGA.JKT.PST. However, PT. PANN (Persero) as a finance company that engage in ship financing also becoming one of unsecured creditors of PT. Mandala Airlines could not implement The Decision of Commercial Court that are final and binding because the existence of The Minister of Finance Regulation No. 84/PMK.012/2006 on Finance Company which stated that “ Finance Company can only invest its capital in the financial sector in Indonesia" and if it is breached will get a maximum sanctions by a revocation of business license. This research will examine the problem of debt to equity swap which is opposite to a regulation regarding to finance company."

"Restrukturisasi Utang adalah sebuah keniscayaan dalam hal Debitur tidak dapat memenuhi kewajibannya kepada Kreditur tetapi di lain sisi Debitur masih memiliki itikadi baik dan prospek untuk menjalankan usahanya. Peraturan perundang-undangan tidak memberikan pengaturan yang pasti dalam hal Restrukturisasi Utang sehingga Debitur dan Kreditur diberikan kebebasan sepenuhnya untuk mencapai kesepakatan dalam mekanisme Restrukturisasi Utang tersebut. Hal tersebut mengartikan bahwa mendirikan sebuah badan usaha baru juga dapat dijadikan sebagai sarana untuk Restrukturisasi Utang. Penelitian ini bertujuan untuk menjelaskan dampak dan kedudukan hukum pihak-pihak dalam Restrukturisasi Utang melalui skema pembentukan Perseroan Terbatas sebagai Debitur baru. Metode penelitian yang digunakan adalah yuridis-normatif dengan studi pustaka yang didasarkan pada studi kasus. Hasil penelitian mengungkapkan bahwa badan hukum bertanggung jawab dalam hal tindakan sah yang dilakukan oleh organ atau telah disetujui oleh organ yang lebih tinggi. Hasil penelitian juga mengungkapkan bahwa kedudukan hukum yang terpisah diantara para pihak mengakibatkan perbedaan hak dan kewajiban sebelum dan setelah dilakukan Restrukturisasi Utang.

Debt restructuring is a necessity in terms of Debtor can not meet its obligations to Creditors, but on the other side of the Debtor still has a good faith and prospects for business. Regulation does not provide definitive arrangement in Debt Restructuring so Creditor and Debtor given that complete freedom to reach agreement in the Debt Restructuring mechanism. This means that setting up a new business entity can also be used as a means for Debt Restructuring. This study aims to explain the impact and the legal position of the parties to the Debt Restructuring scheme as a Limited Liability Company formation as a new Debtor. The method used is juridical-normative based on case studies. Results of the study revealed that the legal entity responsible for the unlawful act committed by the organ or organs that have been approved by the higher. The results also revealed that a separate legal position between the parties resulted in differences in the rights and obligations before and after the Debt Restructuring.

Ditengarai PT PANN Persero merupakan BUMN Persero dengan core business dibidang usaha pembiayaan pengadaan kapal berdasarkan Peraturan Pemerintah No. 18 Tahun 1974 tentang Penyertaan Modal Negara Republik Indonesia Untuk Pendirian Perseroan Persero Dalam Bidang Pengembangan Armada Niaga Nasional. Suatu Hari Pemerintah RI selaku pemegang saham meminta perseroan untuk melaksanakan pemberian fasilitas pembiayaan pesawat terbang ke sejumlah perusahaan maskapai penerbangan salah satunya yaitu PT Mandala Airlines berdasarkan Surat Menteri Keuangan No. SLA-775/DP3/1994 tanggal 9 November 1994, yang mana tidak sesuai dengan maksud dan tujuan PT sebagaimana tertera dalam PP No. 18/1974 dan Anggaran Dasar PT. Atas kegiatan tersebut, PT PANN Persero mengalami kerugian sebab PT Mandala Airlines sebagai lessee pesawat belum melunasi sebagian besar utangnya atas pembiayaan pesawat terbang sebab gagal melakukan restrukturisasi utang. Jika ditinjau dari sisi PT PANN Persero , kerugian tersebut terjadi bukan dikarenakan Direksi PT PANN Persero telah melanggar prinsip duty of care saat memutuskan untuk melakukan kegiatan pemberian fasilitas pembiayaan pesawat terbang kepada PT Mandala Airlines tersebut. Faktanya, sebelum dan saat dilakukannya proyek ini Direksi sudah menyampaikan fakta-fakta yang ada di perusahaan kepada pemegang saham serta mengingatkan pemegang saham bahwa keputusan Direksi untuk melakukan pengurusan PT berdasarkan prinsip fiduciary duty dalam UUPT harus semata-mata demi kepentingan PT sesuai maksud dan tujuan PT serta memperhatikan ketentuan larangan dan batasan dalam peraturan perundang-undangan serta anggaran dasar PT yang berlaku. Namun, peringatan Direksi tersebut diacuhkan oleh para pemegang saham sehingga Direksi PT PANN Persero disini cuma melaksanakan hal yang telah diamanatkan para pemegang saham tersebut. Berdasarkan alasan ini, Direksi PT PANN Persero seyogyanya berhak memperoleh perlindungan dari tanggung jawab pribadi atas kerugian yang dialami PT melalui prinsip Business Judgement Rule sebagaimana diatur dalam Pasal 97 ayat 5 UUPT sebab terjadi penyalahgunaan keadaan Misbruik van Omstagdiheden terhadap Direksi PT PANN Persero saat menyetujui pelaksanaan proyek pemberian fasilitas pembiayaan pesawat terbang yang mengakibatkan PT PANN Persero tidak memiliki opsi lain, selain menjalankan amanat Pemerintah RI selaku pemegang saham, walaupun aktivitas tersebut sesungguhnya bertolak belakang dengan core business PT sebagaimana tertera dalam Pasal 2 PP No. 18/1974. Name Indita Fardhani MalfianStudy Program Economic LawTitle The Enforcement of Business Judgement Rule Principle Against the Decision of the Board of Directors of the Company Case Analysis of the Decision to Grant Aircraft Financing Facility to PT Mandala Airlines by the Board of Directors of PT PANN Persero This Thesis discusses about the principle of business judgement rule as a principle in Corporate Law which gives a protection to the Board of Directors on business decision which is not made independently by them. PT PANN Persero is a state owned enterprise with core business in the field of ship procurement financing based on Government Regulation No.18 of 1974 regarding Capital Participation of Republic of Indonesia for the Establishment of the Company in the field of National Trade Fleet Development. One day, the Indonesian Government as a shareholder asked the Company to implement the provision of aircraft financing facility to a numerous airline companies one of them is PT Mandala Airlines based on the Letter of Finance Minister No S 524 MK.016 1994 dated 12 July 1994 and Subsidiary Loan Agreement No. SLA 775 DP3 1994 dated 9 November 1994, which does not appropriate with the Company rsquo s purposes and objectives as stated in GR No.18 1974 and Article of Association of the Company. Because of that activity, PT PANN Persero suffered a loss because PT Mandala Airlines as the lessee of the airplane has not paid off most of its debt on aircraft financing because failed to do debt restructuring. If viewed from the side of PT PANN Persero , such loss occurred not because the Board of Directors of PT PANN Persero has violated the principle of duty of care when decided to conduct the aircraft financing facility to PT Mandala Airlines. In fact, before and during this project is implemented the Board of Directors of PT PANN Persero has conveyed the facts that exist in the company to the shareholder as well as reminded them that the decision of The Board of Directors to perform the management of the Company based on the fiduciary duty principle in the Company Law must be solely for the interests of the Company pursuant to its purposes and objectives as well as notice the provisions of prohibitions and restrictions in the applicable regulations and Article of Association of the Company. However, such warnings are ignored by the shareholders so that the Board of Directors of PT PANN Persero here only did what has been mandated by the Company rsquo s shareholders. Based on that reason, the Board of Directors of PT PANN Persero should be entitled to get protection from personal responsibility through the business judgement rule principle as regulated in Article 97 paragraph 5 of the Company Law for losses suffered by the company because there is a misuse of circumstances Misbruik van Omstagdigheden against the Board of Directors of PT PANN Persero when approved the execution of granting aircraft financing facility which resulted PT PANN Persero having no other options, besides carried out the mandate of the Government of Republic of Indonesia as a shareholder, though such activity in fact is contrary to the Company rsquo s core business as stated in Article 2 of GR No.18 1974. "Kemajuan teknologi dalam era globalisasi memicu perkembangan di sektor perdagangan. Salah satu perkembangan yang signifikan adalah transaksi elektronik sebagai salah satu transaksi jual beli di era globalisasi. Dalam melakukan transaksi elektronik, penjual dan pembeli menggunakan marketplace sebagai platform transaksi jual beli. Selain transaksi elektronik, muncul juga metode pembayaran yang beragam. Salah satu metode pembayaran yang sering digunakan oleh masyarakat dalam transaksi jual beli adalah metode pembayaran split payment. Hal ini berpengaruh dalam pemberian ganti rugi dalam transaksi jual beli dengan metode pembayaran split payment. Tidak adanya pengaturan yang jelas membuat susah menentukan pihak yang bertanggung jawab memberikan ganti rugi. Perusahaan jasa ekspedisi juga menentukan batasan nominal ganti rugi yang diberikan. Pemberian batasan nominal ganti rugi memungkinkan konsumen tidak bisa mendapatkan penggantian penuh atas kerugian yang dideritanya dan melanggar peraturan perundang-undangan yang menyatakan bahwa perusahan jasa ekspedisi harus mengganti penuh atas kerugian yang diderita konsumen. Dalam penelitian ini, penulis menggunakan metode penelitian yuridis normatif dalam menganalisa berbagai peraturan terkait permasalahan pemberian ganti rugi untuk transaksi jual beli di marketplace dengan metode pembayaran split payment. Hasil penelitian ini menunjukkan bahwa perlu adanya pengaturan mengenai metode pembayaran split payment. Selain itu, perlu juga adanya pengaturan lebih mendalam mengenai ganti rugi oleh pelaku usaha serta kedudukan pelaku usaha dan konsumen serta ganti rugi oleh perusahaan jasa ekspedisi. Pihak marketplace juga harus lebih berperan dalam menyediakan layanan yang dapat digunakan oleh konsumen untuk mengajukan komplain atas kendala yang dideritanya.

Technological advances in globalization era trigger developments, one of them is electronic transactions. In conducting electronic transactions, sellers and buyers use the marketplace as a platform for buying and selling transactions. In addition to electronic transactions, there are also various payment methods like the split payment method. This affects the provision of compensation in buying and selling transactions with the split payment method. The absence of clear regulations makes it difficult to determine who is responsible for providing compensation. The shipping company also determines the nominal limit for the compensation given. The provision of a nominal limit for compensation allows consumers not to get full compensation for the losses they suffer and violates the laws and regulations which state that the shipping service company must fully compensate for the losses suffered by the consumers. In this study, the author uses a normative juridical research method in analyzing various regulations related to the issue of providing compensation for transactions in the marketplace with the split payment method. The results of this study indicate that there is a need for arrangements regarding the split payment method. In addition, there is also a need for more in-depth arrangements regarding compensation by business actors as well as the position of business actors and consumers as well as compensation by shipping service companies. The marketplace party must also play a greater role in providing services that can be used by consumers to file complaints for the problems they suffer."

"[ABSTRAK
Tesis ini membahas studi kasus permohonan kepailitan PT. Mandala Airlines yang diajukan secara sukarela. Pembahasan terhadap PUTUSAN NOMOR 48/PDT.SUS.PAILIT /2014/PN.NIAGA.JKT.PST) meliputi beberapa aspek hukum terkait perlindungan terhadap para pemegang saham PT. Mandala Airlines diantaranya aspek hukum kepailitan dan aspek hukum perusahaan. Pada kasus perkara kepailitan P.T Mandala Airlines menjadi menarik untuk dibahas mengingat justru pada saat proses kepailitan berlangsung, para pemegang saham yang notabenenya justru mayoritas malah tampil menjadi pemohon keberatan dalam proses tersebut. Pada akhirnya, putusan kepailitan tetap dijatuhkan oleh Majelis Hakim dalam perkara ini, sekalipun asas kelangsungan usaha yang dikedepankan oleh pemohon keberatan telah dikedepankan. Namun karena semua persyaratan untuk dijatuhkannya pailit bagi pemohon telah memenuhi persyaratan sebagaimana ditentukan dalam Pasal 2 ayat (1) juncto Pasal 8 ayat (4) Undang-Undang Kepailtan, maka sesederhana pembuktiannya pula, PT Mandala Airlines akhirnya memperoleh putusan pailit tersebut. Pokok permasalahan dalam tesis ini adalah mencari informasi dan menganalisa bagaimana proses pengajuan pailit atas permohonan sendiri oleh suatu badan hukum perseroan terbatas serta bagaimana pula hukum positif Indonesia memberikan perlindungan hukum bagi pemegang saham badan hukum perseroan dalam proses kepailitan. Dan tesis ini menjawab dua pokok permasalahan tersebut dimana proses pengajuan pailit atas permohonan sendiri memiliki mekanisme/tata cara yang sama dengan proses pengajuan pailit oleh kreditor dan Undang-Undang Kepailitan Indonesia tidak mengatur tentang perlindungan hukum bagi pemegang saham (shareholder) perseroan terbatas dalam proses pailit, tetapi tetap membuka pintu bagi pihak berkepentingan untuk melakukan upaya hukum terhadap putusan pailit.

ABSTRACT
This thesis discusses case studies of insolvency petition PT. Mandala Airlines submitted voluntarily. Discussion on verdict number 48/PDT.SUS.PAILIT.2014/ PN.NIAGA.JKT.PST consisting some aspects of the law regarding the protection of shareholders PT. Mandala Airlines including aspects of bankruptcy/insolvency law and legal aspects of the company. The case of PT Mandala Airlines bankruptcy case will be rather interesting to be reviewed considering the fact that, just when bankruptcy proceedings take place, the shareholders who appears to be the majority is actually the applicants who objects in that process. At the end, the decision of bankruptcy still being uphold by the Judges in this case, even if the principle of continuity of effort being put forward by the applicant, objections has been put onward. However, since all the qualifications to have the bankruptcy case being filed towards the applicants has been fulfilled, as stated in Section 2 Verse (1) juncto Section 8 Verse (4) Indonesian Law of Insolvency/Bankruptcy, it will as easily be proven PT. Mandala Airlines will eventually receive the verdict for that insolvment. Literature research, secondary data and verbal interviews as primary resource with all parties involve such as notary, and curator will be uphold for information gathered in PT. Mandala Airlines bankruptcy case as writing methods throughout this thesis. This thesis discuss two major problem, first, how the process of filing for bankruptcy voluntarily (company) and how the Indonesian positive law provides a legal protection for shareholder in bankruptcy proceedings. And this thesis also provides answer for the two main issues where the process of filing for bankruptcy voluntarily has the same mechanism/ procedure the process of filing for bankruptcy by creditors; and Indonesia Bankruptcy Act does not regulate a specific legal protection for shareholders (company) in the process of bankruptcy, but there’s a chance for interested parties to take legal actions against the bankruptcy decision.
;This thesis discusses case studies of insolvency petition PT. Mandala Airlines submitted voluntarily. Discussion on verdict number 48/PDT.SUS.PAILIT.2014/ PN.NIAGA.JKT.PST consisting some aspects of the law regarding the protection of shareholders PT. Mandala Airlines including aspects of bankruptcy/insolvency law and legal aspects of the company. The case of PT Mandala Airlines bankruptcy case will be rather interesting to be reviewed considering the fact that, just when bankruptcy proceedings take place, the shareholders who appears to be the majority is actually the applicants who objects in that process. At the end, the decision of bankruptcy still being uphold by the Judges in this case, even if the principle of continuity of effort being put forward by the applicant, objections has been put onward. However, since all the qualifications to have the bankruptcy case being filed towards the applicants has been fulfilled, as stated in Section 2 Verse (1) juncto Section 8 Verse (4) Indonesian Law of Insolvency/Bankruptcy, it will as easily be proven PT. Mandala Airlines will eventually receive the verdict for that insolvment. Literature research, secondary data and verbal interviews as primary resource with all parties involve such as notary, and curator will be uphold for information gathered in PT. Mandala Airlines bankruptcy case as writing methods throughout this thesis. This thesis discuss two major problem, first, how the process of filing for bankruptcy voluntarily (company) and how the Indonesian positive law provides a legal protection for shareholder in bankruptcy proceedings. And this thesis also provides answer for the two main issues where the process of filing for bankruptcy voluntarily has the same mechanism/ procedure the process of filing for bankruptcy by creditors; and Indonesia Bankruptcy Act does not regulate a specific legal protection for shareholders (company) in the process of bankruptcy, but there’s a chance for interested parties to take legal actions against the bankruptcy decision.

"ABSTRAK
Penelitian ini untuk membandingkan antara kredibilitas selebriti dan kredibilitas perusahaan dalam memengaruhi intensi konsumen dalam membeli tiket pesawat. Penelitian ini merupakan eksperimen dengan desain 2x2 between subjects factorial design bintang iklan berkredibilitas tinggi dan rendah dan perusahaan berkredibilitas tinggi dan rendah . Partisipan sebanyak 563 orang generasi Millenials yang berusia 21-34 tahun diambil secara daring. Hasil penelitian menunjukkan bahwa selebriti berkredibilitas tinggi menghasilkan skor intensi membeli yang signifikan lebih tinggi dibandingkan bintang iklan berkredibilitas rendah M = 18,37; SD = 0,51 . Perusahaan berkredibilitas tinggi juga menghasilkan skor intensi membeli yang signifikan lebih tinggi dibandingkan perusahaan berkredibilitas rendah M = 18,66; SD = 0,47 . Interaksi antara kredibilitas selebriti dan perusahaan terbukti tidak signifikan F 1,559 = 3,76; p>0,05; ?2 = 0,01. Dengan demikian, penelitian ini dapat berguna bagi para pemasar untuk memperhatikan kredibilitas selebriti dan perusahaan dalam membuat iklan.

ABSTRACT
This study aims to find out the comparison of celebrity credibility and corporate credibility toward consumer rsquo s purchase intention of airlines ticket. The design of this study 2x2 between subjects factorial design high vs low endorser credibility and high vs low corporate credibility . Participants were 563 people from Millenial generation aged 21 34 years old. The results indicate that high celebrity credibility has significant greater purchase intention compared to low celebrity credibility M 18,37 SD 0,51 . High corporate credibility also has greater purchase intention compared to low corporate credibility M 18,66 SD 0,47 . There was no interaction effect between endorser and corporate credibility on purchase intention F 1,559 3,76 p 0,05 2 0,01. The implication of this study can be useful for marketer to give more attention about celebrity and corporate credibility in making an advertisement."

"Pasal 2 ayat (5) UU KPKPU menjadikan BUMN sebagai Debitor yang hanya dapat diajukan permohonan pernyataan pailit dan PKPU oleh Menteri Keuangan. Penjelasan Pasal 2 ayat (5) menyatakan bahwa ketentuan ini berlaku pada BUMN yang seluruh modalnya adalah milik negara dan tidak terbagi atas saham. Persero merupakan BUMN dalam bentuk perseroan terbatas yang modalnya terbagi atas saham. Terhadap BUMN Persero terdapat beberapa putusan yang menyatakan bahwa Persero merupakan bagian dari BUMN yang dimaksud pada Pasal 2 ayat (5) UU KPKPU, seperti putusan permohonan pernyataan pailit PT Merpati Nusantara Airlines (PT MNA) dan putusan permohonan PKPU PT Angkasa Pura II (PT AP II). Namun, apabila merujuk kepada Pasal 1 angka 2 UU BUMN maka terjadi ketidaksinkronan antara pengertian Persero dengan penjelasan BUMN yang dimaksud dalam Pasal 2 ayat (5) UU KPKPU. Pada skripsi ini akan membahas mengenai kedudukan hukum dari Persero dalam kepailitan serta kewenangan kreditor dalam melakukan permohonan pailit maupun PKPU terhadap Persero. Metodologi yang digunakan dalam skripsi ini adalah yuridis normatif yakni analisis permasalahan akan berdasarkan pada undang-undang yang berkaitan. Secara singkat, kedudukan hukum dari Persero adalah sama dengan perseroan terbatas lainnya sehingga terhadap Persero dapat diajukan permohonan pernyataan pailit maupun permohonan PKPU. Pihak yang dapat melakukan permohonan pernyataan pailit atau permohonan PKPU ini adalah Debitor itu sendiri maupun Para Kreditornya.

SOEs as special debtors as stipulated in Article 2 paragraph (5) of the KPKPU Law make it only possible to apply for bankruptcy and suspension of payment by the Minister of Finance. This provision applies to SOEs engaged in the public interest only, namely SOEs whose entire capital is state-owned and not divided into shares. Persero SOEs is a SOE in the form of a limited liability company whose capital is divided into shares whose entire or at least 51% of the shares are owned by the state with the aim of pursuing profits. Against Persero SOEs, there are several rulings stating that Persero is part of the SOEs referred to in Article 2 paragraph (5) of the KPKPU Law. However, when referring to Article 1 number 2 of the SOEs Law, there is a synchrony between the definition of Persero and the explanation of SOEs referred to in Article 2 paragraph (5) of the KPKPU Law. This thesis will discuss the legal position of Persero, in the application for bankruptcy and suspension of payment as well as the authority of creditors in making applications against both. The methodology used in this thesis is normative juridical, namely the analysis of problems will be based on related laws. In short, the legal position of Persero is the same as other limited liability companies so that against Persero, an application for bankruptcy statement or suspension of paymentapplication can be filed. The parties who can apply for a bankruptcy statement or suspension of payment application are the Debtor himself and his Creditors."
