Sejak Pandemic Coronavirus (Covid-19) menyebar ke seluruh dunia termasuk ke Indonesia, tentu banyak hal yang mengalami perubahan serta kendala. Salah satunya dalam sector bisnis, meskipun pandemic covid-19 sedang melanda namun banyak hal yang tetap harus dilaksanakan, salah satunya Rapat Umum Pemegang Saham. Oleh karena itu pemerintah mengeluarkan beberapa peraturan yang berhubungan dengan COVID-19 seperti Peraturan Pemerintah (PP) No 21 Th 2020 (Peraturan PSBB) terkait Pembatasan Sosial Berskala Besar Dalam Rangka Percepatan Penanganan COVID-19, dan Otoritas Jasa Keuangan pun merespon dengan tanggap dengan mengeluarkan POJK No. 15/POJK.04/2020 tentang Perencanaan dan Penyelenggaraan RUPS Perusahaan Terbuka (Perusahaan Publik) dan POJK No.16/POJK.04/2020 tentang Penyelenggaraan RUPS Perusahaan Terbuka (Perusahaan Publik) Secara Electronic (POJK 16/2020) Sebagai Bentuk Pedoman Penyelenggaraan RUPS Secara Electronic Bagi Perseroan Terbatas Terbuka. Adapun yang menjadi rumusan masalah dalam penulisan ini adalah bagaimana pelaksanaan Rapat Umum Pemegang Saham sebelum dan sejak masa Pandemi Covid-19 dan bagaimana kendala atas berbagai peraturan pelaksanaan RUPS di masa Pandemi Covid-19. Dan dalam penulisan ini, menggunakan metode penelitian preskriptif yuridis normatif yakni suatu metode penelitian hukum kepustakaan untuk mendapatkan hasil penelitian tentang hal yang menjadi permasalahan dalam penulisan ini, yaitu terdapat perbedaan serta kendala dalam pelaksanaan Rapat Umum Pemegang Saham. Sehingga sebaiknya selain menetapkan peraturan diikuti dengan menciptakan fasilitas yang memadai untuk melaksanakan peraturan tersebut dan tidak berbenturan dengan peraturan lainnya.
